Conditions of Use

Welcome to Step by Step Marketing, LLC (“SBSM”) doing business as Seafully.com ("Seafully Service”).  SBSM as Seafully Service provides a website (www.seafully.com and other addresses linking to the same), and mobile website dedicated to connecting suppliers/procurers of seafood (including freshwater fish and product), guide services, charters, or other services and sales with consumers for the purpose of purchasing said seafood or utilizing services unique to the waters of the world.  Seafully's Service is intended for consumers to be able to purchase seafood and other services/experiences directly from suppliers.  SBSM provides their service including website, and mobile website subject to the following conditions.


By using Seafully, you agree to these conditions.  Please read them carefully.

When you use an Seafully Service you will be subject to the guidelines, terms and agreements herein.

PRIVACY

Please review our Privacy Notice, which also governs your use of Seafully Services, to understand our practices.

ELECTRONIC COMMUNICATIONS

When you use Seafully Services, or send e-mails, text messages, and other communications from your desktop or mobile device to us, you may be communicating with us electronically.  You consent to receive communications from us electronically, such as e-mails, texts, mobile push notices, or notices and messages on this site or through the other SBSM or Seafully Services, and you can retain copies of these communications for your records.  You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

COPYRIGHT

All content included in or made available through any Seafully Service, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software is the property of SBSM or its content suppliers.  The compilation of all content included in or made available through any Seafully Service is the exclusive property of SBSM.

TRADEMARKS

Graphics, logos, page headers, button icons, scripts, and service names included in or made available through any Seafully Service are property of SBSM.  Any SBSM trademark and trade dress may not be used in connection with any product or service that is not SBSM's, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits SBSM.  All other trademarks not owned by SBSM that appear in any Seafully Service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by SBSM.

PATENTS

Any patents owned by SBSM apply to the Seafully Services and to the features and services accessible via the SC Services.

LICENSE AND ACCESS

Subject to your compliance with these Conditions of Use and any Service Terms, and your payment of any applicable fees, SBSM or its suppliers and contributors grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and make personal and non-commercial use of the Seafully Services, its content, or intellectual property.  This license does not include any resale or commercial use of any Seafully Service, or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of any Seafully Service or its contents; any downloading, copying, or other use of account information for the benefit of any third party; or any use of data mining, robots, or similar data gathering and extraction tools.  All rights not expressly granted to you in these Conditions of Use or any Service Terms are reserved and retained by SBSM or its licensors, suppliers, publishers, rightsholders, or other content providers.  No Seafully Service, nor any part of any Seafully Service, may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of SBSM.  You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of SBSM or Seafully without express written consent.  You may not use any meta tags or any other "hidden text" utilizing SBSM's or Seafully's name or trademarks without the express written consent of SBSM.  You may not misuse the Seafully Services.  You may use the Seafully Services only as permitted by law.  The licenses granted by SBSM terminate if you do not comply with these Conditions of Use or any Service Terms.

YOUR ACCOUNT/PROFILE

You may need your own Seafully account or profile to use certain Seafully Services, and you may be required to be logged in to the account and have a valid payment method associated with it.  You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account, and you agree to accept responsibility for all activities that occur under your account or password.  If you are under 18, you may use Seafully Services only with involvement of a parent or guardian.  SBSM reserves the right to refuse service, terminate accounts, terminate your rights to use Seafully Services, remove or edit content, or cancel orders in its sole discretion.

REVIEWS, COMMENTS, COMMUNICATIONS, AND OTHER CONTENT

You may post reviews, comments, photos, videos, and other content; and submit suggestions, ideas, comments, questions, or other information, so long as the content is not illegal, obscene, threatening, defamatory, libelous, invasive of privacy, infringing of intellectual property rights (including publicity rights), or otherwise injurious to third parties or objectionable, and does not consist of or contain software viruses, political campaigning, chain letters, mass mailings, or any form of "spam" or unsolicited commercial electronic messages.  You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of content.  SBSM reserves the right (but not the obligation) to remove or edit such content.

If you do post content or submit material, and unless we indicate otherwise, you grant SBSM a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, perform, translate, create derivative works from, distribute, and display such content throughout the world in any media.  You grant SBSM and sublicensees the right to use the name that you submit in connection with such content, if they choose.  You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify SBSM for all claims resulting from content you supply.  SBSM has the right but not the obligation to monitor and edit or remove any activity or content.  SBSM takes no responsibility and assumes no liability for any content posted by you or any third party.

COPYRIGHT COMPLAINTS

SBSM respects the intellectual property of others.  If you believe that your work has been copied in a way that constitutes copyright infringement, please follow our Notice and Procedure for Making Claims of Copyright Infringement.

RISK OF LOSS

All risk of loss with respect to the Purchased Assets to be transferred hereunder shall remain with Seller until the transfer of the Purchased Assets.  SBSM shall hold no liability for loss with exception to error or negligence that is the fault of SBSM and SBSM is a cause (legal and proximate) of the loss.

RETURNS, REFUNDS AND TITLE

SBSM is not responsible for defective or improperly described products.  SBSM and Seafully Services may be used to facilitate refund as between the Supplier and the Purchaser.  SBSM and Seafully Service are not suppliers but provide a venue of connection.  Returns and refunds are as between the Seller and Purchaser.  For more information about returns and refunds please contact us at info@seafully.com.

PRODUCT DESCRIPTIONS

SBSM attempts to be as accurate as possible.  However, SBSM does not warrant that product descriptions or other content of any Seafully Service is accurate, complete, reliable, current, or error-free.  Products/services posted using Seafully Service are done so by third parties, not by SBSM or Seafully Service.  If a product offered by SBSM/Seafully Services (and NOT a third party), itself is not as described, your sole remedy is to return it for refund.

PRICING

Prices are determined by the Suppliers based on a variety of factors.

By selling a product you consent to a 7% commission to SBSM roughly half of which pays credit card processing fees.

Credit card processing is based upon terms and conditions and privacy policy of 3rd party secure credit card processing services.  For further information contact info@seafully.com.

SANCTIONS AND EXPORT POLICY

You may not use any SBSM or Seafully Service if you are the subject of U.S. sanctions or of sanctions consistent with U.S. law imposed by the governments of the country where you are using Seafully Services.  You must comply with all U.S. or other export and re-export restrictions that may apply to goods, software, technology, and services.

OTHER BUSINESSES

Parties may operate stores or supplier specific pages within Seafully Service, provide services, or sell products through the Seafully Service.  In addition, we may provide links to the sites of affiliated companies and certain other businesses.  We are not responsible for examining or evaluating, and we do not warrant, the offerings of any of these businesses or individuals (including the content of their Web sites). SBSM does not assume any responsibility or liability for the actions, product, and content of all these and any other third parties.  You should carefully review their privacy statements and other conditions of use.

SBSM allows Suppliers and Boat Owners to offer Fishing Charter, boating excursions, or guide experiences (“Rental Services”).  SBSM and Seafully Services are not liable for seaworthiness of the available boats nor for any injuries that may occur during Rental Services.  Boat Owners are responsible for their own terms of use and liability.  Neither SBSM nor Seafully Services have vetted nor approved of any Rental Service.  Anyone purchasing a Rental Service does so knowing that such activities often come with inherent and assumed risks such as injury (minor or severe), and even death.  By purchasing or engaging in a Rental Service that is listed on Seafully Service, you agree to hold SBSM and Seafully Services harmless from any and all resulting injuries or loss that may result from said Rental Service.

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

THE SBSM AND SEAFULLY SERVICES AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) AND OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH SBSM AND SEAFULLY SERVICES ARE PROVIDED BY SBSM ON AN "AS IS" AND "AS AVAILABLE" BASIS, UNLESS OTHERWISE SPECIFIED IN WRITING. SBSM MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF SBSM OR SEAFULLY SERVICES, OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH SBSM AND SEAFULLY SERVICES, UNLESS OTHERWISE SPECIFIED IN WRITING. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SBSM AND SEAFULLY SERVICES IS AT YOUR SOLE RISK.

TO THE FULL EXTENT PERMISSIBLE BY LAW, SBSM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. DISPUTES

Any dispute or claim relating in any way to your use of any SBSM or Seafully Service, or to any products or services sold or distributed by SBSM or through Seafully Service will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.  The Uniform Arbitration Act of Washington state shall apply to this agreement.

There is no judge or jury in arbitration, and court review of an arbitration award is limited.  However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow the terms of these Conditions of Use as a court would.

To begin an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to our registered agent of Step By Step Marketing, LLC, Chris Miller, at 4733B 109th Avenue SE, Snohomish, WA 98290.  Each party shall pay their own filing, administration and arbitration fees.  SBSM will not seek attorneys' fees and costs in arbitration unless the arbitrator determines the claims are frivolous. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the county where you live or at another mutually agreed location.

We each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action.  If for any reason a claim proceeds in court rather than in arbitration we each waive any right to a jury trial.  We also both agree that you or we may bring suit in court to enjoin infringement or other misuse of intellectual property rights.

APPLICABLE LAW

By using any Seafully Service or other service of SBSM, you agree that the Uniform Arbitration Act of Washington state, any applicable federal law, and any other applicable laws of the state of Washington, without regard to principles of conflict of laws, will govern these Conditions of Use and any dispute of any sort that might arise between you and SBSM or Seafully Services.

SITE POLICIES, MODIFICATION, AND SEVERABILITY

Please review all policies, posted on this site.  These policies also govern your use of Seafully Services.  We reserve the right to make changes to our site, policies, Service Terms, and these Conditions of Use at any time.  If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.

ADDITIONAL SBSM SOFTWARE TERMS

The following terms (“Software Terms”) apply to any software (including any updates or upgrades to the software) and any related documentation we make available to you in connection with Seafully Services (the "Seafully Software").

1. Use of the Seafully Software.  You may use Seafully Software solely for purposes of enabling you to use the Seafully Services as provided by SBSM, and as permitted by these Conditions of Use and any Service Terms.  You may not incorporate any portion of the Seafully Software into other programs or compile any portion of it in combination with other programs, or otherwise copy (except to exercise rights granted in this section), modify, create derivative works of, distribute, assign any rights to, or license the Seafully Software in whole or in part.  All software used in any Seafully Service is the property of SBSM or its software suppliers and is protected by United States and international copyright laws.

2. Use of Third Party Services.  When you use the Seafully Software, you may also be using the services of one or more third parties, such as a wireless carrier or a mobile software provider.  Your use of these third party services may be subject to the separate policies, terms of use, and fees of these third parties.

3. No Reverse Engineering.  You may not reverse engineer, decompile or disassemble, tamper with, or bypass any security associated with the Seafully Software, whether in whole or in part.

4. Updates.  We may offer automatic or manual updates to the Seafully Software at any time and without notice to you.

5. Government End Users.  If you are a U.S. Government end user, we are licensing the Seafully Software to you as a "Commercial Item" as that term is defined in the U.S. Code of Federal Regulations (see 48 C.F.R. § 2.101), and the rights we grant you to the Seafully Software are the same as the rights we grant to all others under these Conditions of Use.

6. Conflicts.  In the event of any conflict between these Conditions of Use and any other SBSM, Seafully Services or third-party terms applicable to any portion of Seafully Software, such as open-source license terms, such other terms will control as to that portion of the Seafully Software and to the extent of the conflict.

SBSM Privacy Notice

SBSM knows that you care how information about you is used and shared, and we appreciate your trust that we will do so carefully and sensibly.  This notice describes our privacy policy.  By visiting Seafully Service, you are accepting the practices described in this Privacy Notice.

What Personal Information About Customers Does Seafully Service Gather?

The information we learn from customers helps us personalize and continually improve your experience using SBSM and Seafully Services.  Here are the types of information we gather.

Information You Give Us:  We receive and store any information you enter on our Web site or give us in any other way.  You can choose not to provide certain information, but then you might not be able to take advantage of many of our features.  We use the information that you provide for such purposes as responding to your requests, customizing future shopping for you, improving our stores, and communicating with you.

Mobile:  When you download or use apps created by SBSM or our subsidiaries, we may receive information about your location and your mobile device, including a unique identifier for your device.  We may use this information to provide you with location-based services, such as advertising, search results, and other personalized content.  Most mobile devices allow you to turn off location services.

E-mail Communications:  To help us make e-mails more useful and interesting, we often receive a confirmation when you open e-mail or notification from Seafully Services if your computer supports such capabilities.  We also compare our customer list to lists received from other companies, in an effort to avoid sending unnecessary messages to our customers.

Information from Other Sources:  We might receive information about you from other sources and add it to our account information.

What About Cookies?

Cookies are unique identifiers that we transfer to your device to enable our systems to recognize your device and to provide features that we may recommend to you based upon past purchases/product viewing, personalized advertisements on other Web sites, and storage of items in your Shopping Cart between visits.

Does Seafully Services Share the Information It Receives?

Information about our customers is an important part of our business, and we are not in the business of selling it to others.  We share customer information only as described below and with subsidiaries SBSM and Seafully Services (as they expand services available) that either are subject to this Privacy Notice or follow practices at least as protective as those described in this Privacy Notice.

Affiliated Businesses We Do Not Control:  We work closely with affiliated businesses.  In some cases, these businesses operate stores via Seafully Services or sell offerings to you at Seafully Services website or application.  Based on product selection you will be able to see information about most third party Suppliers, and we share customer information related to those transactions with that third party.

Third-Party Service Providers:  We employ or utilize other companies and individuals to perform functions on our behalf.  Examples may include sending postal mail and e-mail, removing repetitive information from customer lists, analyzing data, providing marketing assistance, providing search results and links (including paid listings and links), processing credit card payments, and providing customer service.  Third party suppliers are responsible for timely shipping of products.  They have access to personal information needed to perform their functions, but may not use it for other purposes.

Promotional Offers:  Sometimes we send offers to selected groups of Seafully Services customers on behalf of other businesses.  When we do this, we do not give that business your name and address.

Business Transfers:  As we continue to develop our business, we might sell or buy stores, subsidiaries, or business units.  In such transactions, customer information generally is one of the transferred business assets but remains subject to the promises made in any pre-existing Privacy Notice (unless, of course, the customer consents otherwise).  Also, in the event SBSM or Seafully Services, or substantially all of their assets are acquired, customer information will of course be one of the transferred assets.

Protection of Seafully Services and Others:  We release account and other personal information when we believe release is appropriate to comply with the law; enforce or apply our Conditions of Use and other agreements; or protect the rights, property, or safety of Seafully Services, our users, or others.  This includes exchanging information with other companies and organizations for fraud protection and credit risk reduction.  Obviously, however, this does not include selling, renting, sharing, or otherwise disclosing personally identifiable information from customers for commercial purposes in violation of the commitments set forth in this Privacy Notice.

With Your Consent:  Other than as set out above, you will receive notice when information about you might go to third parties, and you will have an opportunity to choose not to share the information.

How Secure Is Information About Me?

We work to protect the security of your information during transmission by using a third party secure payment method which encrypts information you input, and is governed by their privacy policy and terms of use.

It is important for you to protect against unauthorized access to your password and to your computer.  Be sure to sign off when finished using a shared computer.

What About Third-Party Advertisers and Links to Other Websites?

Seafully Services gives you access to a range of information about your account and your interactions with Seafully Services for the limited purpose of viewing and, in certain cases, updating that information.

As discussed above, you can always choose not to provide information, even though it might be needed to make a purchase or to take advantage of certain Seafully Services features.

You can add or update certain information on pages.

If you do not want to receive e-mail or other mail from us, a mechanism for adjusting such information shall be provided. (If you do not want to receive Conditions of Use and other legal notices from us, such as this Privacy Notice, those notices will still govern your use of Seafully Services, and it is your responsibility to review them for changes.)

Seafully Services does not sell products for purchase by children.  We sell children's products for purchase by adults.  If you are under 18, you may use Seafully Services only with the involvement of a parent or guardian.  We do not knowingly collect personal information from children under the age of 13 without the consent of the child's parent or guardian.

Conditions of Use, Notices, and Revisions

If you choose to use Seafully Services, your visit and any dispute over privacy is subject to this Notice and our Conditions of Use, including limitations on damages, resolution of disputes, and application of the law of the state of Washington.  If you have any concern about privacy of Seafully Services, please contact us with a thorough description, and we will try to resolve it.  Our business changes constantly, and our Privacy Notice and the Conditions of Use will change also.  We may e-mail periodic reminders of our notices and conditions, but you should check our Web site frequently to see recent changes.  Unless stated otherwise, our current Privacy Notice applies to all information that we have about you and your account.  We stand behind the promises we make, however, and will never materially change our policies and practices to make them less protective of customer information collected in the past without the consent of affected customers.

Examples of the information we may collect and analyze include the Internet protocol (IP) address used to connect your computer to the Internet; login; e-mail address; password; computer and connection information such as browser type, version, and time zone setting, browser plug-in types and versions, operating system, and platform; purchase history, which we sometimes aggregate with similar information from other customers to create features; cookie number; products you viewed or searched for; and the phone number you used to call our telephone number.  We may also use browser data such as cookies, Flash cookies (also known as Flash Local Shared Objects), or similar data on certain parts of our Web site for fraud prevention and other purposes.  During some visits we may use software tools such as JavaScript to measure and collect session information, including page response times, download errors, length of visits to certain pages, page interaction information (such as scrolling, clicks, and mouse-overs), and methods used to browse away from the page.  We may also collect technical information to help us identify your device for fraud prevention and diagnostic purposes.

Mobile

Most mobile devices provide users with the ability to disable location services.  Most likely, these controls are located in the device's settings menu.  If you have questions about how to disable your device's location services, we recommend you contact your mobile service carrier or your device manufacturer.

Information from Other Sources

Examples of information we receive from other sources include updated delivery and address information from our carriers or other third parties, which we use to correct our records and deliver your next purchase or communication more easily; account information, purchase or redemption information, and page-view information from some merchants with which we may operate co-branded businesses or for which we may provide technical, fulfillment, advertising, or other services; search results and links, including paid listings (such as Sponsored Links); and credit history information from credit bureaus, which we use to help prevent and detect fraud and to offer certain credit or financial services to some customers.

Supply Chain Standards

Seafully Services is strongly committed to conducting its business in a lawful and ethical manner, including engaging with suppliers that are committed to the same principles.  We require suppliers in our manufacturing supply chain to comply with our Supplier Code of Conduct* ("Supplier Code"), which is detailed below.  Seafully Services also expects our suppliers to hold their suppliers and subcontractors to the standards and practices covered by our Supplier Code.  Products offered up for sale via Seafully Services must be manufactured or procured in a manner that meets or exceeds the expectations of Seafully Services and our customers as reflected in our Supplier Code.

Here are some of the key areas we focus on:

Health and safety in production areas and any living quarters

The right to legal wages and benefits

Appropriate working hours and overtime pay

Prevention of child labor or forced labor

Fair and ethical treatment, including non-discrimination


At this time Seafully Services does not audit suppliers but this is subject to change.  Suppliers will have full access to our Supplier Code of Conduct.

Supplier Code of Conduct

Guiding Principle.  Our suppliers’ business and labor practices must comply with all applicable laws, as well as the requirements and principles of this Supplier Code.  Suppliers must comply with the standards of this Supplier Code even when this Supplier Code exceeds the requirements of applicable law.  If Seafully Services is made aware of violations of this Supplier Code of Conduct, such claim of violation shall be investigated and at SP Services sole discretion, Supplier may be terminated or blocked from using Seafully Services, and if applicable, reported to authorities if circumstances, in sole discretion of Seafully Services appear criminal or otherwise illegal.

Child Labor.  Seafully Services will not tolerate the use of child labor.  Our suppliers must engage workers whose age is the greater of: (i)15, (ii) the age of completion of compulsory education, or (iii) the minimum age to work in the country/state where work is performed.  Furthermore, workers under the age of 18 must not perform hazardous work.  Seafully Services supports the development of legitimate workplace apprenticeship programs that comply with applicable laws and this Supplier Code.

Involuntary Labor, Human Trafficking, and Slavery.  Seafully Services suppliers must not use forced labor - slave, prison, indentured, bonded, or otherwise.  Our suppliers must not traffic workers or in any other way exploit workers by means of threat, force, coercion, abduction, or fraud.  Working must be voluntary, and workers must be free to leave work and terminate their employment or other work status with reasonable notice.  Our suppliers must not require workers to surrender government issued identification, passports, or work permits as a condition of working, and our suppliers may only temporarily hold onto such documents to the extent reasonably necessary to complete legitimate administrative and immigration processing.  Workers must be given clear, understandable contracts regarding the terms and conditions of their engagement in a language understood by the worker.  Suppliers must ensure that each of its staffing or recruiting agencies comply with this Supplier Code and with the more stringent of the applicable laws of the country or state where work is performed and the worker’s home country.

Safety and Health.  Our suppliers must provide workers with a safe and healthy work environment, and suppliers must, at a minimum, comply with applicable laws regarding working conditions and with the standards below.

Occupational Safety.  Suppliers must educate workers on safety procedures and also control worker exposure to potential physical safety hazards by implementing physical guards, barriers, and/or engineering and administrative controls.  Workers must be informed and receive appropriate education in advance if they will be working with (or otherwise exposed to) hazardous or dangerous conditions or materials.  In addition, workers must be given appropriate personal protective equipment and educated and trained on the proper use of such equipment.  Suppliers must manage, track, and report occupational injuries and illnesses.

Physically Demanding Work.  Suppliers must continually identify, evaluate, and control physically demanding tasks to ensure that worker health and safety is not jeopardized.

Emergency Preparedness and Response.  Suppliers must identify and plan for emergency situations and implement and train their workers on response systems, including emergency reporting, alarm systems, worker notification and evacuation procedures, worker training and drills, first-aid supplies, fire detection and suppression equipment, and unblocked exit facilities.

Machine Safeguarding.  Suppliers must implement a regular machinery maintenance program.  Production and other machinery must be routinely evaluated for safety hazards.

Sanitation and Housing.  Workers must be provided with reasonable access to clean toilet facilities and potable drinking water.  If suppliers provide a canteen or other food accommodations, they must include sanitary food preparation, storage, and eating accommodations.  If suppliers provide residential facilities for their workers, they must provide clean and safe accommodations.  In such residential facilities, workers must be provided with emergency egresses, reasonable and secure personal space, entry and exit privileges, reasonable access to hot water for bathing, adequate heat and ventilation, and reasonable transportation to and from work facilities (if not reasonably accessible by walking).

Wages and Benefits.  Our suppliers must pay their workers in a timely manner and provide compensation (including overtime pay and benefits) that, at a minimum, satisfy applicable laws.  Suppliers must provide to their workers the basis on which workers are being paid in a timely manner via pay stub or similar documentation.  Deductions from wages as a disciplinary measure are not permitted.

Working Hours.  Except in unusual or emergency situations, (i) suppliers must not require a worker to work more than 60 hours per week, including overtime, and (ii) each worker must be entitled to at least one day off for every seven-day work period.  In all circumstances, working hours must not exceed the maximum amount permitted by law.

Anti-discrimination.  Conditions of working must be based on an individual’s ability to do the job, not on personal characteristics or beliefs.  Our suppliers must not discriminate on the basis of race, color, national origin, gender, sexual orientation, religion, disability, age, political opinion, pregnancy, marital or family status, or similar factors in hiring and working practices such as job applications, promotions, job assignments, training, wages, benefits, and termination.  Suppliers must not subject workers or applicants to medical tests that could be used in a discriminatory manner.

Fair Treatment.  All workers must be treated with respect and dignity.  Our suppliers must not engage in or permit physical, verbal, or psychological abuse or coercion, including threats of violence, sexual harassment, or unreasonable restrictions on entering or exiting work and residential facilities.

Immigration Compliance.  Our suppliers may only engage workers who have a legal right to work.  If suppliers engage foreign or migrant workers, such workers must be engaged in full compliance with the immigration and labor laws of the host country.

Freedom of Association.  Our suppliers must respect the rights of workers to establish and join a legal organization of their own selection.  Workers must not be penalized or subjected to harassment or intimidation for the non-violent exercise of their right to join or refrain from joining such legal organizations.

Ethical Behavior

No Bribery.  Our suppliers must not offer nor accept bribes or other means of obtaining undue or improper advantages to anyone for any reason, whether in dealings with governments or the private sector.

Anti-Corruption.  Suppliers must comply with applicable anti-corruption laws, and not offer anything of value, either directly or indirectly, to government officials in order to obtain or retain business.  Suppliers must not make illegal payments to government officials themselves or through a third party.  Suppliers who are conducting business with the government officials of any country must follow SBSM’s and Seafully Services's guidance on the law governing payments and gifts to governmental officials.

Whistleblower Protections.  Suppliers must protect worker whistleblower confidentiality and prohibit retaliation against workers who report workplace grievances.  Suppliers must create a mechanism for workers to submit their grievances anonymously.

Environment.  Our suppliers must comply with applicable environmental laws.   Seafully Services encourages our suppliers to implement systems that are designed to minimize the impact on the environment by the supply chain system, the production process, and the products themselves.

Environmental Permits and Recordkeeping.  Suppliers must obtain and keep current all required environmental permits, approvals, and registrations and follow applicable operational and reporting requirements.

Effective Management and Disposal of Hazardous Substances.  Suppliers must effectively identify and manage the safe handling, movement, storage, and disposal of chemicals and other substances that pose a threat to the environment, including providing workers with appropriate training on the safe-handling and disposal of hazardous substances.  Suppliers must also monitor and control wastewater or solid waste generated from operations before disposing in accordance with applicable laws.  In addition, suppliers must characterize, monitor, control, and treat regulated air emissions before discharging in accordance with applicable laws.
